Terms and Conditions of Website Use
1. ACCEPTANCE
This document (hereinafter, the “Agreement”) sets forth the terms and conditions of the Americas Business Dialogue (ABD), applicable to the access and use by the User of the website americasbd.org. We kindly ask you to read this Agreement carefully.
By accessing, browsing, or using the Website, Users (“You”, “your”, “User” or “user”) agree to be bound by the terms and conditions set forth herein. If you do not agree to these terms and conditions, you are not authorized to access or use the Website.
The Americas Business Dialogue (ABD) reserves the right to update this Agreement whenever it deems appropriate. Accordingly, we recommend that Users periodically review the terms for any changes.
2. USER REQUIREMENTS
The Website and its related services are offered to Users who have the legal capacity to enter into binding agreements under the applicable legislation.
3. LICENSE
ABD hereby grants the User a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to temporarily access and download one copy of the content available on the Website, solely for the User’s personal use or within their organization, and never for commercial purposes.
All materials displayed or offered on the Website—including but not limited to graphics, documents, texts, images, audio, video, illustrations, software, and HTML code (collectively, the “Content”)—are the exclusive property of the Americas Business Dialogue (ABD).
The Content is protected by applicable international laws, regulations, and standards concerning intellectual property rights. Except as expressly permitted in this Agreement or by mandatory law, the User may not (i) use, copy, modify, display, delete, distribute, download, store, reproduce, transmit, publish, sell, resell, adapt, reverse engineer, or create derivative works from the Content, nor (ii) use the Content on other websites or in any other media environment, such as networked settings, without prior written authorization from ABD.
All trademarks, service marks, and logos (the “Marks”) displayed on the Website are the exclusive property of ABD or their respective owners. The User may not use any of the Marks without prior written consent from ABD and the respective trademark holders.
4. USER-SUBMITTED INFORMATION
Through its Website (americasbd.org), ABD provides Users with access to its communities, known as ABD COMMUNITIES. By submitting or uploading information to the Website (“ABD COMMUNITIES”), the User grants ABD a perpetual, non-exclusive, irrevocable, and transferable license, to the maximum extent permitted by law, to use, copy, modify, display, distribute, download, store, reproduce, transmit, publish, sell, resell, adapt, or create derivative works from such User Information, in whole or in part, in any form or manner, without obligation.
The User acknowledges and agrees that ABD serves solely as a passive forum through which users can seek employment or access professional information. ABD does not monitor or verify the accuracy or reliability of User Information. Therefore, ABD provides no guarantees regarding the reliability, accuracy, completeness, validity, or truthfulness of the information submitted by users.
ABD reserves the right, at its sole discretion, to delete, remove, reject, or block any User Information it deems inappropriate. If ABD receives a complaint regarding the unacceptability of specific User-submitted information, it may, at its full discretion, investigate such information.
The User understands and agrees that ABD may retain a copy of their Information and disclose it to third parties if necessary in order to:
(i) protect the integrity of the Website;
(ii) safeguard the rights of ABD;
(iii) comply with a court order;
(iv) comply with legal processes;
(v) enforce the terms of this Agreement; and
(vi) respond to claims of third-party rights violations.
5. GENERAL PROHIBITIONS
By accessing and using the Website, the User agrees NOT to:
(a) violate any applicable local, state, provincial, national, or international laws or regulations, including employment discrimination laws or equal opportunity employment laws, where applicable;
(b) infringe on intellectual property rights or privacy rights, including but not limited to patent rights, copyrights, database rights, trademarks, or proprietary knowledge of third parties;
(c) upload, send, transmit, or store material that:
• is illegal, offensive, defamatory, fraudulent, misleading, harmful, threatening, harassing, obscene, or otherwise objectionable;
• violates contractual or confidentiality obligations of the User;
• disrupts or interferes with the normal functioning of the Website (e.g., by sending viruses, worms, trojans, repeated messages, or abnormally large files);
• is not permitted by ABD, such as unauthorized advertising, unsolicited promotions, “junk mail,” “spam,” chain letters, pyramid schemes, franchise solicitations, or any other inappropriate content;
(d) infringe upon the personal and privacy rights of others by misusing Content (e.g., through persistent harassment via unsolicited emails or unauthorized collection of personal information);
(e) breach or attempt to breach the security measures of the Website;
(f) use any device, process, or mechanism—such as spiders or web crawlers—to access, retrieve, search, or index the Website or its Content without prior written authorization from ABD;
(g) access or attempt to access third-party or company accounts listed on the Website;
(h) copy, modify, reproduce, delete, distribute, download, store, transmit, sell, republish, reverse engineer, or create derivative works from the Content, except for material submitted by the User which is their own, or when permitted under applicable intellectual property laws;
(i) submit false, inaccurate, or incomplete information, including resumes, biographies, employment dates, or company profiles;
(j) impersonate any individual or organization;
(k) use the Website for unauthorized or unlawful purposes;
(l) falsify email header information; or
(m) misrepresent their identity, association with others, or affiliation with any company.
6. USE OF THE WEBSITE AND SPECIFIC OBLIGATIONS
In addition to the general obligations listed in Section 5, the User agrees to:
(a) use the Website exclusively for lawful purposes related to job searching or accessing professional information;
(b) provide and maintain User Information that is accurate, complete, current, and truthful;
(c) submit only content for which the User holds the necessary rights or licenses;
(d) exercise sound judgment, discretion, and common sense when handling job opportunities and information obtained via the Website; and
(e) assume responsibility for relying on or using any third-party content or information shared on the Website.
